This Audition Submission Agreement (this "Agreement") is entered into between you ("Submitter" or "you") and <span class="ph">to be finalized</span> ("Operator") as of the date you submit an Audition. By submitting an Audition through AWWDITIONS or any other platform Operator directs you to, you agree to this Agreement. If you do not agree, do not submit.
1.1 You are submitting audio, video, written, visual, or other creative materials (the "Submission") for consideration in connection with The Movie Version and the productions made under that banner.
1.2 You are submitting under one or more of the following categories: dancer, singer, rapper, poet, screenwriter, graphic designer, actor, or such other category as Operator may make available. Vocals, choreography, and portfolio materials are acceptable submission formats.
1.3 You are at least 18 years old (or the age of majority in your jurisdiction, whichever is greater).
2.1 You will pay the applicable Audition fee at the time of submission. The standard fee is $10 per Audition. Bad Kids Klass members in good standing pay $1 per Audition. The fee is non-refundable except as required by law.
2.2 Your Audition fee includes admission to attend the production you Auditioned for, subject to availability and conditions disclosed at casting.
3.1 Grant. By submitting your Audition, you grant Operator and its production partners a limited, royalty-free, non-exclusive, worldwide license to use your name, voice, image, likeness, performance, and the content of your Submission solely for the purpose of marketing The Movie Version productions and the Audition program.
3.2 Limits. This license is limited as follows:
<span class="ph">to be finalized</span> after submission, unless you are cast in a Movie Version production, in which case separately negotiated terms apply.3.3 Withdrawal. You may withdraw your Submission from active consideration at any time by emailing <span class="ph">to be finalized</span>. Withdrawal removes your Submission from future consideration; it does not retroactively undo any prior marketing use authorized under Section 3.1, but Operator will use reasonable efforts to remove your Submission from materials that have not yet been distributed.
4.1 Payment of the Audition fee does not entitle you to be cast, considered beyond the time required to evaluate your Submission, employed by Operator, or compensated by Operator. Casting decisions are at the sole discretion of Operator and its production partners.
4.2 Hold-over. If you are not cast for the specific production you submitted for, Operator may, at its discretion, consider your Submission for future productions for up to <span class="ph">to be finalized</span> from submission. You will not be charged an additional fee for hold-over consideration.
4.3 If cast. If you are cast, separate terms governing compensation, scope of work, rights, and other matters will be presented to you before you begin work. You are not obligated to accept those terms.
You represent and warrant that:
6.1 You may use AI tools (generative or assistive) in the preparation of your Submission. You remain responsible for the rights and lawfulness of the resulting Submission.
6.2 If you used AI tools, you agree to disclose this on request from Operator. Operator may, at its discretion, give preference to non-AI work in certain casting decisions, and may require a live or in-person verification step for any role.
6.3 The performer who appears at a casting session or who delivers the role must be the human Submitter. Misrepresentation of authorship or identity is grounds for disqualification and may be referred for legal action.
Operator's processing of your personal information in connection with this Agreement is governed by the Privacy Policy at <span class="ph">to be finalized</span>. By submitting, you acknowledge you have read and accepted the Privacy Policy.
8.1 Your Audition is submitted through AWWDITIONS (or such other platform Operator directs you to). AWWDITIONS has its own terms of service and privacy policy that govern your use of that platform. This Agreement governs the rights and obligations between you and Operator with respect to the Submission itself.
8.2 Payment processing is handled by AWWDITIONS or its payment provider. Disputes about the charge itself must be raised with AWWDITIONS. Disputes about consideration, casting, or NIL use should be directed to Operator.
9.1 Governing Law. This Agreement is governed by the laws of <span class="ph">to be finalized</span> without regard to conflicts of laws principles.
9.2 Arbitration. <span class="ph">to be finalized</span>
10.1 Entire Agreement. This Agreement, together with the Terms of Service and Privacy Policy, is the entire agreement between you and Operator about the Submission. It supersedes any prior understandings.
10.2 No Modification. Operator may modify this Agreement going forward for new Submissions by posting an updated version. Once a Submission is made, the version in effect at the time of submission governs that Submission.
10.3 Severability. If any provision is held unenforceable, the rest remains in effect.
10.4 No Employment. Nothing in this Agreement creates an employment, partnership, agency, or joint venture relationship between you and Operator.
10.5 Assignment. You may not assign your rights or obligations under this Agreement. Operator may assign freely.
